Terms of Service
The agreement between ResellerHQ (Enrich Labs LLC FZ) and the businesses that resell through it.
These Terms are an agreement between Enrich Labs LLC FZ, 6th Floor, Meydan Grandstand, Meydan Hotel, Meydan, Dubai, United Arab Emirates ("ResellerHQ", "we", "us"), and the business that opens a ResellerHQ account ("you"). By creating an account or using ResellerHQ, you accept these Terms on behalf of that business, and confirm you are allowed to.
1. What ResellerHQ is
ResellerHQ lets you buy domains, phone numbers and Google mailboxes at wholesale prices and resell them to your own customers, under your own brand, through our dashboard, API, customer portal and assistant (MCP) tools. You run your own business: you set your prices, choose your customers, and are the seller to them. We are your supplier.
2. Your account
- You must be a business, and at least 18. Give us accurate details and keep them up to date.
- You are responsible for everything done through your account, its API keys and any assistant you connect. Keep credentials secret, and turn on two-step verification.
- Tell us at security@resellerhq.com straight away if you think your account has been misused.
- Every account has a sandbox. Nothing done there is real, charged or sent to a provider.
3. Wallet, prices and payment
- ResellerHQ is prepaid. You top up your wallet (by card through Stripe, or another way we agree), and each order is paid from the wallet when you place it. An order that the wallet cannot cover is not placed.
- Prices are shown in the dashboard and API before you order. We may change them; a change applies to orders and renewals placed after it is published, not to anything already paid.
- Renewals are charged from the wallet when due, if auto-renew is on. If the wallet cannot cover a renewal, the item may expire.
- Wallet balances are not interest-bearing, are not a bank deposit, and can only be spent on ResellerHQ. You can ask us to pay out an unused balance when you close your account, less any payment fees and amounts you owe.
- Prices exclude taxes. You pay any taxes that apply to your purchases, other than taxes on our income.
4. Refunds and cancellations
- Phone numbers: a number can be cancelled for a full refund while it has received no messages and the provider allows it (not in its first 5 minutes). After that, rentals are not refundable.
- Domains: registrations and renewals are not refundable once submitted to the registry, except where the registry itself refunds them.
- Mailboxes: mailboxes are not refundable once set up. Deleting a mailbox domain from your account stops its renewals.
- If we cannot fulfil an order, its cost is returned to your wallet.
5. Your customers
- You have the relationship with your customers. You are responsible for your contract with them, your prices and invoices, your support to them, and your own privacy policy, which your customer portal links to.
- You must make sure each customer agrees to the terms that come with what they buy: the domain registrar's and registry's registration terms, Google Workspace's terms for mailboxes, and the number provider's rules. We give you these on request, and you pass them on.
- When you put personal data about your customers into ResellerHQ, you are the controller and we are your processor. Our Data Processing Agreement at resellerhq.com/legal/dpa forms part of these Terms and governs that data.
6. Acceptable use
You and your customers must not use ResellerHQ, or anything bought through it, to:
- send spam or bulk email that breaks anti-spam law (such as CAN-SPAM, the GDPR or UAE law), or that the recipients did not agree to;
- phish, spread malware, or impersonate anyone;
- commit fraud, including creating accounts on other services by deception, or getting around another service's verification or limits in breach of its terms;
- infringe anyone's rights, or host or send illegal content;
- probe, overload or attack ResellerHQ or our providers, or get around our limits;
- resell to anyone who is sanctioned, or in a country where the sale is prohibited.
You must also follow Google's acceptable use policy for mailboxes, the registry's rules for domains, and the number provider's rules for numbers. If we, or a provider, find a breach, we may suspend the affected item or account, normally after telling you, or straight away if the harm is serious or the law requires it.
7. Our service
- We aim to keep ResellerHQ available, but it is provided "as is" and we do not promise it will be uninterrupted or free of errors.
- Domains, numbers and mailboxes are supplied by third parties. We are not responsible for their outages, their changes to their products or prices, or their decisions to suspend something for breaking their rules, though we pass on any refund they give us.
- We may change, add or retire features. If we retire something you are paying for, we give you reasonable notice and a pro-rata refund to your wallet for the unused period.
8. Your data and ours
- Your data is yours. You can export it through the dashboard and API at any time. We use it only to provide ResellerHQ, as described in our Privacy Policy and DPA.
- ResellerHQ, its software, documentation and brand are ours. You get a non-exclusive right to use them to run your reselling business while your account is open. Do not copy or resell ResellerHQ itself.
- If you send us feedback, we may use it freely.
9. Confidentiality
Each of us keeps the other's non-public information confidential, uses it only for this agreement, and protects it with reasonable care. This includes the confidential list of our subprocessors.
10. Liability
- Nothing in these Terms limits liability that the law does not allow to be limited.
- Neither of us is liable for indirect or consequential loss, or for lost profits, revenue or data, even if foreseeable.
- Our total liability under these Terms in any 12 months is limited to the fees you paid us in those 12 months, not counting wallet top-ups you have not spent.
- You will cover us for claims by your customers or by others arising from how you or your customers used ResellerHQ in breach of these Terms or the law.
11. Suspension and closing an account
- You can close your account at any time from the dashboard or by emailing us. Active items stop renewing; anything already paid for runs until it expires.
- We may suspend or close your account if you seriously or repeatedly breach these Terms, do not pay what you owe, or if the law or a provider requires it. Unless it is urgent, we tell you first and give you time to fix the problem.
- After closing, your data is kept until you ask us to delete it, so you can return or export it; we then delete it within 30 days, as the Privacy Policy describes.
12. Changes to these Terms
We may update these Terms. For a material change we email the account owner at least 30 days before it takes effect. If you do not agree, you can close your account before then; continuing to use ResellerHQ after that date means you accept the change.
13. General
- Law and courts: these Terms are governed by the laws of the United Arab Emirates as applied in the Emirate of Dubai, and the courts of Dubai have exclusive jurisdiction.
- Notices: we send notices to the account owner's email. You send them to privacy@resellerhq.com, or to our address above.
- Assignment: you may not transfer this agreement without our consent. We may transfer it to a company that takes over ResellerHQ.
- Force majeure: neither of us is responsible for delays caused by events outside reasonable control.
- Whole agreement: these Terms, the Privacy Policy, the DPA and any order form are the whole agreement between us. If a part of these Terms is unenforceable, the rest stays in force. Not enforcing a right is not a waiver of it.
- Language: if these Terms are translated, the English version prevails.
